You must be at least 18 years old to use the Services. By using the Services or creating an account, you represent that you are at least 18 years old and that any information you provide is accurate and complete.

Where accounts are available, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. If you become aware of any unauthorized use of your account, you must notify us immediately at connect@usergy.ai.

Subject to your compliance with these Terms, UsergyAI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business evaluation purposes. You may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or sell any content, software, products, or services obtained from the Services without our prior written consent.

You agree to use the Services in compliance with all applicable laws and regulations. You may not use the Services to:

• infringe, misappropriate, or violate any intellectual property or other rights of UsergyAI or any third party, including by reproducing, distributing, publicly displaying, or publicly performing the Services and all materials and content on them;
• upload or transmit any content that is defamatory, obscene, threatening, abusive, harassing, or hateful;
• interfere with the functionality, integrity, or security features of the Services;
• attempt to gain unauthorized access to the Services, our accounts, computer systems, or networks connected to the Services;
• use the Services for any fraudulent or illegal purpose or in violation of any local, state, national, or international law;
• reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of any proprietary software powering the Services;
• use the Services to develop competing products or services without our express written permission; or
• use, or permit or facilitate others to use, the Services by automated electronic processes (including "robots", "spiders", "scrapers", or "web crawlers") that monitor, copy, or download data or content found on or accessed through the Services.

Please do not submit any information or materials that you consider confidential or proprietary through the Services. If you choose to provide input, ideas, or suggestions about the Services or our products ("Feedback"), you agree that you do so on a non-confidential basis and you grant UsergyAI an unrestricted, perpetual, irrevocable, non-exclusive, fully paid-up, royalty-free, transferable, sublicensable right to use the Feedback for any purpose, including to improve our Services and to create new products and services.

The Services allow you to request sample datasets and proposals for specific data-services engagements. When you request a sample through the Services, you agree to use the sample strictly for internal evaluation within your organization. Samples are not licensed for production use, redistribution, re-hosting, publication, or AI model training unless we agree otherwise in writing.

Sample availability is subject to our current inventory and capacity. We aim to respond to sample requests within one business day, but we do not guarantee specific response times. Dataset descriptions published on the Services are for informational purposes and are not contractual commitments. The actual datasets we deliver are governed by the licensing terms set out in our dataset license or the relevant statement of work.

Accessing this website and submitting enquiries is free of charge. Paid data-services engagements are governed by a separate statement of work, proposal, or master services agreement that sets out fees, billing terms, acceptance criteria, and payment processing.

Unless stated otherwise in the applicable agreement, fees are non-refundable once a deliverable has been accepted or a milestone completed.

The Services, including their visual interfaces, graphics, design, illustrations, compilations, data, computer code (including source code and object code), logos, text, and all other content and elements (together, the "Materials"), are owned by UsergyAI or its licensors and are protected by intellectual-property and other laws. Except as expressly authorized by us or permitted by law, you will not use the Materials.

UsergyAI reserves all rights in the Materials that are not granted expressly in these Terms. You may not use our trademarks, logos, or other proprietary marks without our prior written consent.

Dataset descriptions published on the Services are for informational purposes. The datasets themselves are delivered under separate licensing terms negotiated per project.

The Services may contain links to third-party websites or services that are not owned or controlled by UsergyAI. We do not endorse, and are not responsible for, the content, policies, or practices of any third-party sites. You acknowledge and agree that UsergyAI is not liable for any damage or loss caused by your use of any third-party site or service.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.

All provisions of these Terms that by their nature should survive termination will survive, including provisions relating to ownership, feedback, warranty disclaimers, indemnity, and limitations of liability.

THE SERVICES AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICES ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. USERGYAI DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICES AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICES, INCLUDING (I) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT; AND (II) ANY WARRANTY ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.

USERGYAI DOES NOT WARRANT THAT THE SERVICES, OR ANY PORTION OF THEM, OR ANY MATERIALS OR CONTENT OFFERED THROUGH THEM, WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND USERGYAI DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE SERVICES OR FROM USERGYAI, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OR IN A SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND USERGYAI. YOU UNDERSTAND AND AGREE THAT YOU ACCESS AND USE THE SERVICES AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE SERVICES) OR ANY LOSS OF DATA.

THE LIMITATIONS, EXCLUSIONS, AND DISCLAIMERS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. USERGYAI DOES NOT DISCLAIM ANY WARRANTY OR OTHER RIGHT THAT USERGYAI IS PROHIBITED FROM DISCLAIMING UNDER APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL USERGYAI BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, ANY PORTION OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT USERGYAI HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF USERGYAI TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO ACCESS OR USE ANY PORTION OF THE SERVICES, OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO INR 5,000 (INDIAN RUPEES FIVE THOUSAND ONLY). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING LIABILITY FOR FRAUD OR WILFUL MISCONDUCT.

To the fullest extent permitted by law, you are responsible for your use of the Services. You will defend and indemnify UsergyAI and its officers, directors, employees, consultants, affiliates, subsidiaries, licensors, suppliers, and agents (together, the "UsergyAI Entities") from and against every claim brought by a third party against any UsergyAI Entity, and any related liability, damage, loss, and expense (including reasonable attorneys' fees and costs), arising out of or related to:

• your unauthorized use of, or misuse of, the Services;
• your violation of any portion of these Terms or any applicable law or regulation;
• your violation of any third-party right, including any intellectual property, proprietary, publicity, confidentiality, or privacy right; or
• any dispute or issue between you and any third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of the applicable claims.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India for any action or dispute arising out of or relating to these Terms or your use of the Services.

We reserve the right to modify these Terms at any time. When we do, we will update the "last updated" date at the top of this page. You agree to be bound by the most current version of these Terms each time you access or use the Services. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

UsergyAI reserves the right to modify or discontinue the Services at any time (including by limiting or discontinuing certain features), temporarily or permanently, with or without notice. We are not liable for any change to the Services or any suspension or termination of your access to them.

These Terms, together with the Privacy Policy and any separate written agreements between you and UsergyAI, constitute the entire agreement between you and UsergyAI regarding the use of the Services. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent.

The failure to require performance of any provision will not affect our right to require performance at any later time, and a waiver by us of any breach or default of these Terms or any provision of them will not be a waiver of any subsequent breach or default, or a waiver of the provision itself. Section headings in these Terms are for convenience only and do not affect interpretation. Throughout these Terms, the word "including" means "including but not limited to". If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will continue in full force and effect under applicable law.
